VINEVAULT BETA ADDENDUM
Introduction
This Beta Addendum ("Addendum") applies to Customer's participation in Vinevault's beta, pilot, early access, discounted launch, founding customer, or pre-release program (the "Beta Program").
This Addendum supplements the Vinevault Terms of Service, Privacy Policy, any applicable Data Processing Agreement, and any applicable Order, invoice, subscription confirmation, or written agreement between Customer and Vinevault.
By participating in the Beta Program, accepting beta pricing, using Beta Services, providing feedback, clicking to accept this Addendum, signing an Order that references this Addendum, or otherwise participating as a beta or founding customer, Customer agrees to this Addendum.
Electronic Acceptance and Relationship to Terms of Service
Customer agrees that this Addendum may be accepted electronically, including by clickwrap acceptance, electronic signature, checkout acceptance, Order acceptance, or continued use of Beta Services after this Addendum is presented to Customer.
Electronic records, electronic signatures, and electronic acceptance may be used to establish Customer's agreement to this Addendum to the fullest extent permitted by applicable law.
Capitalized terms not defined in this Addendum have the meanings given to them in the Vinevault Terms of Service.
This Addendum applies only to Customer's participation in the Beta Program and use of Beta Services.
If this Addendum conflicts with the Terms of Service, this Addendum controls only with respect to Beta Services, beta pricing, founding customer benefits, beta feedback, beta testimonials, beta marketing permissions, and other beta-specific matters.
All provisions of the Terms of Service remain in effect except as expressly modified by this Addendum.
Beta Program Purpose
The Beta Program allows selected customers to use Vinevault during an early stage of product availability in exchange for discounted pricing, feedback, testing, operational patience, and reasonable participation in product improvement efforts.
Customer acknowledges that Vinevault is using the Beta Program to test, validate, improve, and refine the Services, including backup functionality, customer portal access, download experience, notifications, support processes, documentation, security practices, and product workflows.
Beta Services
For purposes of this Addendum, "Beta Services" means any Vinevault service, feature, functionality, integration, backup process, customer portal feature, download tool, notification process, documentation, or related service made available to Customer as part of the Beta Program.
Beta Services may include:
- Discounted first-year access to Vinevault
- Early access to recurring backup subscriptions
- Early access to one-time backup or archive services
- Early access to the customer portal
- Early access to backup downloads
- Early access to supported Property Management Software integrations
- Early access to notifications, account tools, documentation, or support workflows
- Experimental or pre-release product functionality
Beta Services may change during the Beta Program.
Beta Pricing and First-Year Discount
Subject to this Addendum and the applicable Order, Customer will receive the beta discount percentage stated in the applicable Order for Customer's first full year of Vinevault service.
The beta discount applies only to the Services, backup cadence, account tier, supported Property Management Software, unit count, connected accounts, and plan features identified in the applicable Order or subscription confirmation.
Unless otherwise stated in the applicable Order, the beta discount applies only during Customer's first annual Subscription Term and does not automatically apply to renewal terms, expanded services, additional connected accounts, increased unit count, upgraded backup cadence, custom services, professional services, one-time archive services, or services added after the initial Order.
Customer remains responsible for all applicable taxes and fees not expressly discounted in the applicable Order.
The applicable Order, checkout confirmation, invoice, or subscription confirmation should identify the beta discount, discounted price, standard price if applicable, subscription term, payment schedule, renewal terms, cancellation requirements, and any plan-specific limitations.
Founding Customer Rate Lock
If Customer is identified in the applicable Order as a founding customer, Customer may receive a founding customer rate lock for the Services, account tier, backup cadence, supported Property Management Software, unit count, and plan features identified in the applicable Order.
Unless otherwise stated in the applicable Order, the founding customer rate lock applies only to Customer's original subscribed plan and does not apply to:
- Increased unit count
- Additional connected accounts
- Upgraded backup cadence
- Additional Property Management Software integrations
- Custom development
- Professional services
- One-time archive services
- Expanded storage, support, or service requirements
- New features, products, or service tiers added after the original Order
If Customer upgrades, downgrades, materially changes its account, exceeds the original unit count or plan limits, cancels the subscription, fails to pay amounts when due, or later reactivates after cancellation, Vinevault may adjust pricing according to the then-current pricing, the applicable Order, or a new written agreement.
Any founding customer rate lock must be stated in the applicable Order to apply.
Post-Beta Pricing
Unless otherwise stated in the applicable Order, after the first annual Subscription Term ends, Customer's subscription will renew at the then-current standard rate for Customer's selected plan, backup cadence, unit count, connected accounts, supported Property Management Software, and service tier.
Vinevault will provide renewal notices before annual renewal as required by applicable law and the Terms of Service. Renewal notices will include the renewal date, applicable renewal terms, total renewal cost or pricing information, and cancellation instructions.
Because beta pricing may renew at a different standard or rate-locked price after the first annual Subscription Term, the applicable Order, checkout confirmation, invoice, or subscription confirmation should clearly disclose the beta discount, discounted price, standard price or renewal pricing method, first-year term, renewal date, cancellation deadline, and cancellation method.
If Customer does not want to renew at the applicable renewal rate, Customer must cancel according to the cancellation requirements in the Terms of Service or applicable Order.
Beta Customer Responsibilities
Customer agrees to participate in the Beta Program in good faith and with reasonable patience and understanding that the Services are in an early stage of availability.
Customer is responsible for:
- Testing and reviewing Beta Services
- Reviewing Backup Data created during the Beta Program
- Confirming whether backups meet Customer's operational needs
- Promptly reporting errors, issues, bugs, failed backups, incomplete data, access problems, download issues, or other concerns
- Maintaining access to Customer's Property Management Software account
- Maintaining accurate Account Credentials
- Maintaining current billing information
- Downloading and safeguarding Backup Data
- Complying with the Terms of Service, Privacy Policy, and any applicable Data Processing Agreement
Customer acknowledges that feedback and issue reporting are important parts of the Beta Program. Customer is not required to disclose Customer Data, Backup Data, Downloaded Backup Data, Account Credentials, or confidential third party information when providing Feedback unless necessary for support and requested through an approved Vinevault support process.
Feedback
Customer agrees to provide reasonable feedback regarding Customer's experience with the Beta Services, as reasonably requested by Vinevault during the Beta Program. Feedback may include comments, suggestions, bug reports, issue reports, product ideas, feature requests, workflow observations, usability notes, testimonial statements, survey responses, interview comments, support communications, or other information Customer provides to Vinevault regarding the Services ("Feedback").
Customer grants Vinevault a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit Feedback to improve, develop, market, support, and operate the Services, without restriction or compensation to Customer.
Vinevault is not required to use any Feedback.
Feedback does not include Customer Data, Backup Data, Downloaded Backup Data, Account Credentials, or confidential information contained in Customer's Property Management Software account.
Testimonials, Endorsements, and Marketing Permission
As part of the Beta Program, Customer agrees that Vinevault may request testimonials, quotes, case study participation, reviews, interview participation, survey responses, or other marketing-related feedback.
Customer authorizes Vinevault to use Feedback, testimonials, quotes, comments, survey responses, interview comments, and similar statements provided by Customer for marketing, sales, website, social media, print, presentation, investor, customer education, and promotional purposes, provided that Vinevault does not disclose Customer Data, Backup Data, Downloaded Backup Data, Account Credentials, or non-public sensitive information.
Customer is not required to participate in customer-identifying public marketing, testimonials, case studies, or promotional materials unless Customer separately approves that use in writing.
Unless Customer gives written permission, Vinevault will not publicly identify Customer by name, logo, trademark, or specific company-identifying details in a public case study or promotional piece.
Vinevault may use anonymized, aggregated, or deidentified beta feedback, usage statistics, general customer statements, product improvement themes, or beta program results without identifying Customer.
Customer represents that any testimonial, quote, review, endorsement, or marketing statement Customer provides to Vinevault is truthful, reflects Customer's honest opinion or experience at the time provided, and does not include claims Customer knows to be false, misleading, or unsupported.
Customer acknowledges that beta discounts, free services, special pricing, founding customer benefits, or other incentives may need to be disclosed clearly and conspicuously at the time Customer provides, publishes, or authorizes use of a testimonial, review, endorsement, referral, social media post, public comment, or other promotional statement about Vinevault. Customer agrees to reasonably cooperate with Vinevault to include clear and truthful disclosures where required by applicable law or advertising guidance.
Customer agrees that Vinevault may include a clear disclosure, such as "Beta customer," "Founding customer," or "Received discounted beta access," in connection with any testimonial, endorsement, referral, or public statement where Vinevault determines such disclosure is appropriate or required.
Vinevault may edit Customer testimonials, quotes, or statements for length, grammar, formatting, or clarity, but Vinevault will not materially alter the meaning of Customer's statement or present Customer's experience in a misleading way.
Publicity Approval
If Vinevault wishes to use Customer's name, logo, trademark, public-facing case study, or customer-identifying testimonial, Vinevault will request Customer's written approval before publication.
Customer may approve, reject, or request reasonable edits to customer-identifying publicity materials.
Approval may be provided by email.
Customer may revoke permission for future use of customer-identifying publicity materials by providing written notice to Vinevault. Revocation will not require Vinevault to recall, remove, or destroy materials already printed, published, distributed, posted, or used before Vinevault received the revocation, unless required by law or agreed in writing.
Vinevault may continue to use anonymized, aggregated, deidentified, or non-customer-identifying beta feedback, usage statistics, product improvement themes, or beta program results after any revocation, provided such use does not identify Customer or disclose Customer Data or Backup Data.
No False or Defamatory Statements
Customer agrees not to make knowingly false, misleading, defamatory, or unlawful public statements about Vinevault, the Services, Beta Services, or Customer's participation in the Beta Program.
Nothing in this Addendum restricts Customer from:
- Providing truthful feedback to Vinevault
- Sharing honest opinions based on Customer's actual experience
- Making statements required by law
- Communicating with regulators or governmental authorities
- Exercising non-waivable legal rights
- Reporting unlawful conduct
- Posting or sharing honest reviews of Customer's actual experience
This section is not intended to prevent fair comment, truthful reviews, legally protected speech, honest opinions, or required legal disclosures.
Beta Limitations
Customer acknowledges that Beta Services may be incomplete, unstable, unavailable, inaccurate, limited, delayed, modified, suspended, or discontinued at any time.
Beta Services may contain bugs, errors, data limitations, backup limitations, incomplete features, performance issues, support limitations, documentation gaps, download issues, notification delays, or other limitations.
Vinevault may add, remove, change, suspend, limit, or discontinue Beta Services during the Beta Program without liability to Customer.
Customer acknowledges that Beta Services may not perform as expected and may not be suitable as Customer's sole method of backup, archive, disaster recovery, legal recordkeeping, compliance, audit support, or records retention.
Backup Review and Verification During Beta
Customer is responsible for reviewing and verifying all Backup Data created during the Beta Program.
Customer should promptly notify Vinevault of any suspected missing data, incomplete backup, failed backup, corrupted file, inaccessible download, notification error, or other issue.
Vinevault will use commercially reasonable efforts to investigate reported beta issues, but Vinevault does not guarantee that all issues will be corrected, that all data will be recoverable, or that all backups will be complete, accurate, timely, or usable for Customer's intended purpose.
No Service Level Commitment During Beta
Unless otherwise stated in a signed written agreement, Beta Services do not include any guaranteed uptime, backup completion rate, response time, resolution time, support level, recovery time, data availability commitment, or service level agreement.
Vinevault may perform maintenance, updates, testing, security changes, feature changes, or service adjustments during the Beta Program without prior notice where Vinevault determines such action is appropriate.
Beta Support
Vinevault may provide support for Beta Services through email or other support channels made available by Vinevault.
Customer acknowledges that support during the Beta Program may be limited, delayed, experimental, or dependent on the nature of the issue reported.
Vinevault may prioritize issues based on severity, security, product impact, customer impact, technical feasibility, or beta program needs.
Customer agrees not to send Account Credentials by email. If Account Credentials need to be added, updated, disabled, or replaced, they must be entered through the secure process made available by Vinevault.
Customer Data and Privacy
Customer Data, Backup Data, Downloaded Backup Data, Personal Information, and Account Credentials remain subject to the Terms of Service, Privacy Policy, and any applicable Data Processing Agreement.
This Addendum does not give Vinevault ownership of Customer Data or Backup Data.
Vinevault does not sell Customer Data or Backup Data. Vinevault does not use Customer Data or Backup Data for advertising, marketing, profiling, resale, artificial intelligence or machine learning model training, or unrelated business purposes.
Confidentiality
Customer may receive non-public information about Vinevault, the Services, product roadmap, beta features, pricing, security practices, workflows, documentation, technical materials, known issues, or planned improvements through participation in the Beta Program. Such information is Vinevault Confidential Information under the Terms of Service.
Customer agrees not to disclose non-public beta information to third parties without Vinevault's prior written consent, except as permitted under the Terms of Service or required by law.
Nothing in this section prevents Customer from providing truthful Feedback to Vinevault or making statements permitted under the No False or Defamatory Statements section of this Addendum.
Beta Discount Termination
Vinevault may terminate Customer's beta discount or participation in the Beta Program if Customer:
- Fails to pay amounts when due
- Breaches the Terms of Service or this Addendum
- Provides invalid or unauthorized Account Credentials
- Uses the Services in a manner that creates legal, security, operational, financial, or reputational risk
- Fails to participate in the Beta Program in good faith
- Makes knowingly false, misleading, defamatory, or unlawful public statements about Vinevault or the Services
- Violates applicable law or third party rights
Termination of the beta discount does not necessarily terminate Customer's subscription unless Vinevault separately terminates the subscription according to the Terms of Service or applicable Order.
If the beta discount is terminated, Customer may be required to pay the then-current standard rate for continued use of the Services.
Cancellation During Beta
Customer may cancel Beta Services according to the cancellation terms in the Terms of Service, applicable Order, or written agreement.
Unless otherwise stated in the applicable Order or required by law, cancellation does not entitle Customer to a refund of amounts already paid, including beta discounted fees, once Backup Data has been delivered, made available in the client portal, or downloaded by Customer.
The applicable Order, checkout confirmation, invoice, or subscription confirmation should clearly disclose any beta refund limitation, including that no refund will be provided after Backup Data has been delivered, made available in the client portal, or downloaded, except where required by law or expressly stated in a signed written agreement.
If Customer cancels during the beta discounted first year, the beta discount, founding customer rate lock, and other beta-specific benefits may be forfeited and may not be available if Customer later reactivates or purchases additional Services.
Beta Program End and Transition
When Vinevault determines that the Beta Program has concluded, Vinevault will notify participating beta customers.
Customers with active subscriptions will continue on their current plan at the applicable renewal rate according to their Order, this Addendum, and the Terms of Service.
The conclusion of the Beta Program does not automatically cancel Customer's subscription, terminate Customer's founding customer rate lock if stated in the applicable Order, or affect any other rights or obligations under the Terms of Service or applicable Order.
Renewal After Beta
Unless otherwise stated in the applicable Order, Customer's subscription will renew after the beta discounted first year at the applicable renewal rate for Customer's selected plan, backup cadence, unit count, connected accounts, supported Property Management Software, and service tier.
If Customer has a founding customer rate lock stated in the applicable Order, renewal pricing will be handled according to the founding customer rate lock terms in that Order and this Addendum.
Customer must provide timely cancellation notice according to the Terms of Service to avoid renewal.
No Warranties for Beta Services
Unless otherwise stated in a signed written agreement, Beta Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
Vinevault disclaims all warranties for Beta Services, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, completeness, reliability, security, and error-free operation.
Limitation of Liability
The limitation of liability in the Terms of Service applies to this Addendum and Customer's participation in the Beta Program.
To the maximum extent permitted by law, Vinevault will not be liable for any damages, losses, costs, or claims arising from Customer's reliance on Beta Services as Customer's sole backup method, legal recordkeeping method, disaster recovery method, compliance method, audit support method, or records retention method.
Survival
Any provisions that by their nature should survive termination or expiration of this Addendum will survive, including provisions regarding Feedback, testimonials and marketing permission, confidentiality, Customer Data, Backup Data, Downloaded Backup Data, beta limitations, no warranties, limitation of liability, payment obligations, cancellation, renewal, and no false or defamatory statements.
